Contract Service Provider agreement
What agreement should I have to
provide services to a larger firm,
including assisting with the work
proposal and delivering the work? I
am an independent sole proprietor
consultant to business. I have been
asked by a larger firm to help prepare
a proposal and then to deliver the
work stated in the proposal to their
customer. I have worked for this
larger firm in the past and know they
are ethical. I have no reason to think
they are not ethical. If get additional
work offers, I do believe that I should
have some agreement to protect my
interests in the case that I help
them, they win the contract, and
then they offer the work to someone
else or do it themselves. I live in
Florida and larger firm is in
Minnesota.

You would need a contract specific to your needs; an attorney can draft it. It can be governed be the law of either state, but yours would be better if you intend to use it with different companies.
