Corporate Business Transaction

I work for an LLC in which a business transaction went sour.

The client has now decided to add me personally to the suit with the LLC that I work for.

Am I personally liable for any damages to the customer even though I work for a corporation?

Is the client's attorney just trying to scare me by naming me in the suit?

The company I work for already has outside counsel working on the case and they are defending me, but do I need to find counsel of my own to protect me?

Without knowing more facts, it is impossible to discuss whether or not you have liability. If the Plaintiff can show that you were negligent, you may have some liability. Normally, people will sue the deep pocket which is the employer but that does not mean an employee cannot be sued for their actions. Your employer may indemnify you but that is between you and the employer.

You need to speak with the outside counsel that has been hired to determine whether or not you will need your own attorney. The attorney is unable to defend parties with interests that have any possibility of conflict and is ethically bound to let you know.

You need to get your own lawyer as the LLC's interests might differ from yours as to liability.

You would be very unwise to not consult with and possibly retain your own attorney because you are being personally sued!
