Dissolving a business

I started a business with a gentleman, he invested no money upfront. He has developed a website and sold enough product to cover all of his expenses and make a little extra money. I want out of the business and now he claims he can sue me for this and that. There is no documentation between us, only verbal commitments. I have not made a penny from this venture, he is running the sales through another bank account and not the company one, how can I be sued when he has pocketed the money and I have not seen a cent?

You have a basis for suing the other person for stealing money from your company, and he is probably trying to scare you out so you don't sue him.

Anyone can sue anyone. The real question is whether he can win anything in court. Threats of litigation are often a method for someone to bluff their way through problems. You should review this matter with a local attorney who can advise you of your legal rights and obligations.
