Legal Question in Business Law in Florida
Florida corporation fiduciary duty of officers?
Hello, Florida attorneys - I'm a California attorney drafting a complaint here, which tangentially involves a Florida corporation. Do corporate officers under FL law owe a fiduciary duty or other duties to the corp and more importantly to other officers? Thanks for any info. I looked at the statue itself, but it didn't specify anything in the officers sections.

yes-but the case law determines (based on
facts) what that duty is to the corporation. If you need help e-mail me your phone # to discuss further.

I was about to write you that we have so many FL corporations because the officers can do anything they want with no consequences, but Mr. Roemer has already pointed out that you'll need to do research or have a FL attorney do it for you and your client.
