The corporation's Articles of Incorporation and/or the Bylaws state how and when dividends must be paid to shareholders. Additionally, Resolutions of the Board of Directors may impact allocation of corporate profits/assets and decisions to pay dividends.

No, unless there is a shareholders agreement requiring the payment of dividends.
