Founding Partner Suddenly Leaves Corporation
Two years ago, my business partner and I founded a multimedia and video production corporation. After 2 years and with no warning, he decided to take a job offer with a local company. Now he wants his 50 percent of the company. What are his rights? I feel like I am being forced to liquidate the company. Most of the assests are equipment I still need to run the company.

This question is confusing. Was the business formed as a partnership or a corporation? Were there any written agreements signed between you?Actions to dissolve a partnership or corporation can be brought however, they are not automatically successful. You have given very little information on which to base an answer but I will try with a warning that you should have any and all documents regarding your buiness arrangement reviewed by an attorney.
Hopefully you were careful at the time of starting your arrangement with your business partner. If a partnership agreement (if a partnership) or a shareholders agreement (if a corporation) or a Buy-Sell Agreement was entered into by and between the parties, then most, in not all, of your questions should be answered therein.
If not, then you may be forced to litigate your differences if the parties can not resolve the problems amicably. You may wish to hire a retired judge who would sit as a mediator and try and mediate your problem before any litigation is instituted. As always, I strongly suggest you retain the services of a competent attorney who can aid you in seeking a resolution of your situation.

A lot depends upon what your partnership agreement
provides. If there was no provision concerning
the dissolution, your choices are basically the two
of you reach an agreement. If you cannot, then
either one has the right to petition the court
to dissolve the partnership and make the decision.
