You should look at the area of business that your potential business partner is in and then try to find out what typical revenues are for what you are doing in that area of business. You can try searching through different search engines, but it may come down to if you feel it is reasonable based on your knowledge of the area of business. You will also want to look closely at the terms of the contract to make sure you are getting a good deal and to make sure that you are not exposing yourself too much. An attorney can always look over the contract for you and break down the terms so that you can make a decision.

FL and CA laws may differ, so look at the "choice of law" or "dispute resolution" clause near the end of the contract. Does it say which law governs the contract and/or disputes? Go with an attorney in that jurisdiction. An attorney in FL may be able to help, but I suspect that one familiar with CA law may be in a better position to negotiate for you.
