If I am hired by an overseas company, to represent and promote them in the United States am I liable in the United States?

Liable for what? But presumably you are working in the US, so you are subject to US laws.

The other attorney is right on point. What kind of liability are you talking about? Being present in the U.S. makes you subject to all U.S. laws, including income tax, etc. Consult with an attorney in your area for specifics.
