Inactive Fla Corporation
If the company is inactive in
the State of Florida
can we suit the individual
personally for damages?

Re: Inactive Fla Corporation
If the corporation is inactive due to administrative dissolution: 1.) the corporation still continues in existance so may be sued; and 2.) directors, officers, and agents acting on the corporation's behalf may be personally liable for debts, obligations and laibilities occurring subsequent to dissolution but only if they have actual notice of the dissolution at the time the action was taken.
