Legal Question in Business Law in Florida

Initial Questions of Woman owned busines LCC Formation

My wife, I and a partner are forming a LLC in Florida to be taxed as an S-Corp to perform computer consulting for the government. Before seeking consulting advice on the formation and possible modifications of the paperwork we need to answer some basic questions to verify viability:

A. In order to be 1- Woman owned business AND 2 - be as equitable as possible between the partner and us AND 3 - allow myself to be the point of contact for the government is the most even split possible 51% - wife, 1% - I, 48% - partner. Or is there some better way?

B. Wed like to set up a power of attorney with me as the agent for my wife on business affairs: 1. Will there be a need for modifications to the LLC Operating Agreement form and a separate Power of Attorney form? 2. Are there any red flags/legal issues setting the business up this way?

C. Do any of the forms need to be modified BEFORE setting up the LLC or can they be altered AFTER?

You really should have a lawyer for your business. Otherwise, you'll be paying one to fix problems down the road.
