What is a ''No-Confidence''vote Mean?
I am a on a Board of Directors and one of our Directors has engaged in what we believe to be unethical behaviour. Several Board members have decided to ''censure'' this Director by a ''No Confidence'' vote. What would that accomplish?

It means that those who so voted doubt the abilities of that director in so far as his business judgment is concerned.
It wont accomplish much except possible re-election to the board.
