non compete

This question is in regards to a no compete contract. A few years ago I signed a non compete contract. With a company in California. My operation is in Florida I�m a small contractor with the only contact with this company was to purchase their fence no other things were involved except the purchase except an occasional referral. I wasn�t given any exclusive territory or anything like that. I could however purchase some brochures from them. I have since found that the prices they charge for the product was to high for me to compete with any other business in the area and was forcing me to close down. I closed the corporation that I was working under and opened a new llC under a different name selling another company�s product. Which was more affordable and I was then able to compete with most company�s And at the onset of this arrange ment I had yet to open the first company and the non compete was signed under my name. I was and never have been under this company�s employ and ran my own operation . Am I liable for this no compete. Or is it invalid It was for a period of 5 years from another state.

An attorney will need to read the non-compete agreement, get some more facts from you, and possibly research the law in CA to give you a reliable answer.
