parlimentary procedure

If an organization has allowed proxy voting on issues for the past few years and it is not mentioned in bylaws can it be stopped by a few people just demanding it be stopped or does it have to be voted on by a majority to be stopped

Re: parlimentary procedure

The answer to your question depends on a number of things, including what type of business entity it is (corporation, limited liability company, etc.) It also depends on the corporate documents (articles of incorporation, partnership agreement, by-laws, etc.)

This can be a complicated area of the law, which is why there are often problems with entities who do not have proper paperwork. The lawyers at our office have experiences in all phases of corporate formation. If you would like to discuss your particular situation further, please contact me at your convenience.
