Remove self from business

Here's my situation. Just last month

(May 2007) I decided to go into a

lawn care business with another guy.

We filed a fictitous name and have

the business listed under both our

names with the tax collector

(business license). That's it, legally

speaking. We never signed any

contracts or went to any lawyers, we

just did the basics to get started and

planned on splitting all profits,

though we never had any to split. In

less than a month went sour. I no

longer want to run a business with

him. He rufuses to sign any papers

to dissolve the business, he will not

even let me ''sell'' it to him for

$1.00. He is purposely being difficult

to ''get at me''. How do i get out of

this business legally so that i am not

legally resposible for it in any way. I

am very concerned with my credit

and financial future and fear this guy

will try to screw me over. Thanks in

advance for any advice.

If you never signed any agreements, then you will have no responsibility for any contracts he might enter into. You should send the former partner formal notice that you will no longer be associated with him or the venture you undertook with him. You should notify all of your customers that you no longer work with the other party. In an exercise of extreme caution, you can publish an announcement in a newspaper of common circulation announcing that you will not be responsible for any debts he may incur or that the former partnership might incur.

Send him formal notice of your withdrawal from the partnership. Also, withdraw your name from the licensing and dba. Also notify those you have contact with that you are no longer with the business - this should also be done in writing.

Go back to where you did the filings and they'll tell you how to remove yourself. Also let all your customers know that you are no longer in business with him.
