Legal Question in Business Law in Florida
Selling a small business
My girlfriend's father is selling his Ft. Lauderdale, Fl. based landscape/lawn care business.
As of this morning, he has a potential buyer who is willing to help ''secure'' the transaction with a downpayment. My questions are, but not limited to:
What are the legal steps needed to take with the entire process?
Downpayment into escrow? (Refundable/non refundable?) Legal forms needed(ie: bill of sale etc.)
Financial disclosures?
Required or recommended third parties involved? (as well as potential fees for said third parties)
Tax repercussions?
Any help would be greatly appreciated.

A written contract of sale would be a good start. Hiring an attorney is another.
