Shareholder (Operating) Agreement
I am launching a venture with my parnter and would like to know the type of agreement we can draft (e.g. operating agreement) to protect both of our interests. The company is incorporated in FL with 2 total shareholders, which is both of us. Thanks in advance for any advice.

You should have a set of by laws (if an inc.) or and operating agreement (if an LLC). You may also prepare a shareholder agreement. Also, stop calling the other shareholder or member your partner. You should see an attorney regarding this matter.
