Legal Question in Business Law in Florida
I started a car business company with a person. He's put up most of the money up around $10k I have only put 2k. I been running the company and he hasn't done anything but the investment of the $ 10k. Now all of a sudden he wants his money and to dissolve the company. I told him he can't do that and i open a new company bank account because he cause a small negative balance. I continued to do business as usual and now a month later he wants to sue me for the $ 10k and is claiming fraud. And fraud serious claim, I didn't do anything out of the ordinary how can he claim fraud? I don't want to end up paying him anything. We never wrote out an operation agreement so I don't know what to do.
