Legal Question in Business Law in Florida
A suppplier has filed a suit againts my company, which has a different tax id, account number with them and a different LLC dba name, which has never had anything the same other than the address and phone number, am i liable?
1 Answer from Attorneys
Liability for debt, contract performance, etc. depends on more substantive
issues. Perhaps the plaintiff intends to prove that the company is actually the
same entity responsible for the debt but has merely changed the EIN, dba,
etc, and transferred all operations to a different LLC. Your liability will depend on
such changes and the contract or agreement you signed with them. Several
factors must be analyzed to determine liability in such cases. You and/or
your attorney should analyze your change in LLC, relevant legal contracts,
and other documents to determine liability and options.
