Is it illegal for the head of a private school to tell a teacher that she cannot pray with students after school if she does not initiate the prayer but the students ask her to pray with them?

So long as she is not on school property, it shouldn't matter what the principal says.
If it is on school property or seen as a school function, then this is something that needs to be worked out. Her desire to pray may be subjecting the school to liability, so she needs to get that straightened out.
