Discuss? If you mean foreign corporation in the sense that it is a corporation registered under the laws of another state in the US (not another country), to do business in Florida, the foreign corporation must register with the FL Secretary of State. The foreign corporation can apply for non-profit status (called 501(c)(3) status) with the federal government. A foreign non-profit can operate in FL as a non-profit as well.

I would need more information to know whether it would be better to "transfer ownership" (through stock transfer) or just start a new corporation in FL.

You should see an attorney in FL who can evaluate your particular needs and recommend a course of action.
