Florida legal and ethical cituation with IT department

After a lawsuit the president of my company has changed. The new president wants me to give unrestricted access to another company's IT manager so he can review our system, ''in the event something happens to me''. We currently have No written computer usage agreement. I do know they want access to all our information, but I have concerns about privacy of data and 3rd part contractor information being removed from our location. Is there any legal reason I must give this information or can I ethically resist as he is not an employee of ours. Does it not negate the whole reason for passwords in the first place?

The president and you have a duty to your customers to protect their privacy. You definitely need non-disclosure agreements with all who have access to customer information, inside and outside the company. But on the other hand, once you've raised this issue with your manager and the president, then you should simply inform in-house counsel and then you can leave it to them to make the final call. Just make sure you give in-house counsel or the top executive if you don't have counsel your concerns in writing, even an email to CYOA. This is tricky, but you need to protect yourself. Maybe they don't realize the risks here and will appreciate your efforts, but you know a judge and jury would.
