Termination of Contract
Our Business is being sued by our previous uniform supplier because we terminated their services after using them for over 8 years. After several problems with bills not being correct, not receiving the correct sizes, terrible service, etc. I decided to switch to another company. I wrote to the uniform company and informed them that in 1 month we would not be using them any longer and to please pick up all uniforms that we had. They left a copy of the original contract saying in very small print that the contract would automatically be renewed every 4 years, and we are not allowed to end our service until the next term was up and we notified them at that time. We've been with a new company whom we are pleased with for the past 3 months but the previous company says we must reinstate them and pay for the past few months when we did not use them. I called them many times over the years and expressed my displeasure with the billing and service, but nothing changed. What are our rights now and how should I handle this inconvience.

Several factors need to be considered. How serious were the problems with the contractor? Did you give them adequate opportunity to correct the problems? How far into the contract period were you before the relationship was terminated? Did you have an attorney review the initial contract? How big of a business do you have (goes to your presumed level of sophistication)?
An attorney will need to review the contract. You should schedule a formal consultation with a lawyer. A good means of obtaining an attorney referral is by contacting your State's bar association or your local county bar association. They probably have a web site and charge a nominal fee for the referral. Most attorneys either provide a free initial consultation, or charge a nominal fee.
