Management Agreements

If you sign a Hospitality Management Agreement with one Management Company and they are then removed from the premises,by the developer, and another managment company comes in, is your management agreement still valid? These are condotels, whereby each unit is owned by an investor. Most investors are from Puerto Rico and the property is in Florida.

The management agreement may still be valid. Your contract should provide a clause concerning this situation. Look for exculpatory clauses and those relating to breach and purpose; in a less formal manner, scan the recitals, if any.
