One never should start a business without seeing a lawyer (and a CPA). You could have, for a few hundred dollars, avoided this mess.
You now have what can be an expensive problem. You need a lawyer IMMEDIATELY. The lawyer may or may not be able to fix the mess and your business may suffer as well. You will pay a lot more than you would have if you had done things right. But you now have no choice. What he can get may end up being decided by a judge.
The other attorney is right on point. Never go into a partnership without (1) thinking everything through (what happens if-type questions) and (2) having an attorney draft a partnership agreement. Now, you have a mess on your hands. Consult with an attorney in your area for specifics.
