Legal Question in Business Law in Georgia
What does the following clause mean?
Client will indemnify and defend ( company here) against all claims, liability, damages, costs, and expenses, including all legal fees and expenses, arising out of any use of any photographs provided by Client for which are altered by the Client or request(company here) to alter. Unless so furnished, no release exists. (Company here) liability for all claims shall not exceed in any event the total amount paid under this invoice.
1 Answer from Attorneys
It means that if the company is sued for claims involving any pictures that the client either provided or modified, the client will defend and/or reimburse the company for any amounts paid out. And the last sentence means the client can only sue the company for the maximum of the amounts paid by the company to the client.
