Legal Question in Business Law in Georgia

collection law suit

I had a business that I incorporated. It went out of business due to financial reasons. Can a vendor sue me personally for an unpaid invoice, I did not request the work a customer did. I have no signed agreements with this vendor. The cost of the job was included in the sale price of a vehicle I sold the customer.

Thanks

Re: collection law suit

Generally, a shareholder of a corporation is not responsible for the debts and obligations of the company. However, there are exceptions to this rule such as a personal guarantee or a piercing of the corporate veil. And anyone can file a lawsuit against anyone, but you might be able to get it dismissed quickly.

Re: collection law suit

Yes, they can probably sue. Whether they win is a different issue, and with only one side of the story (that is far from clear) and no facts whatsoever about the complaint that is possibly filed, it is impossible to provide a meaningul response.

Re: collection law suit

They can certainly sue you. Consult with a local attorney to review the situation.
