Legal Question in Business Law in Georgia

We are a commercial real estate company in Atlanta. We have our main company, and then we have a separate company that handles retail leasing. As of the first of next year, the main company is acquiring the smaller company through a buyout. The smaller company, however, is registered to do business and has real estate licenses in several other states. How would we go about updating each secretary of state with the larger company's information, starting with The State of Georgia?

I'm not sure I follow your question. If the main company will begin conducting business in a new state after the purchase, it will need to register there as a foreign entity. It's not really an update, but a new registration. If the main company is simply purchasing the stock, there should not be any change needed as secretaries of state don't generally keep ownership records (unless such information is currently included on the articles).

Either way, you should definitely have a local business attorney assist you as these things can get complicated quickly.
