Legal Question in Business Law in Georgia

Dissolution of business

My partner and I stared a business in november with no capital or revenue generated. She is threatening to have the business terminated but we both own half. What can i do to keep my half or all the business if she want to file for dissolution?

Re: Dissolution of business

I'm not exactly sure what you mean by having the business terminated. Depending on what type of entity it is and the agreements among the principals, it would probably be a breach of fiduciary duty to you to dissolve the company without your permission. An injunction might also be a possibility to stop her from dissolving.

You should have a local business attorney review all relevant documents and all of the facts to determine your best plan of action.
