Legal Question in Business Law in Georgia

If I am entering into a business sale and the attorney is representing both the buyer and seller at closing, will signing a "conflict of interest waiver" protect me the seller? Is this attorney suppose to represent us both equally even if the buyer is the party that initially hired this attorney?

Yes, he is supposed to represent you both equally. However, if you are that concerned about it, perhaps you should have your own counsel.

The conflict of interest waiver protects the attorney-- not you.

The conflict of interest waiver protects the attorney from a conflict of interest/ethical claim. I highly recommend that each party have their own attorney to at least review the proposed agreements. The only reason to have an attorney represent the deal is to save money.
