Legal Question in Business Law in Georgia

falsified corporate minutes

husb and wife 50/50 owners of a corp began having marital difficulties and could not agree on anything. they were at a divorce mediation 07/2004 with a trusted employee present, during which they held an impromptu board meeting and elected this person to the board for the sole purpose of mediating disputes. He was not supposed to have any real decision making power, just to play ''king solomon'' when the two were disagreeing which was happening all the time. there were never any minutes entered, as they were very lax about corp procedure (it was mainly a shell). soon after, the employee resigned after admitting he was biased towards the wife, and he moved to Nevada. In 11/2004, the wife called him up and asked him to participate in a board meeting to have the husb removed and elect her pres. he agreed. she also had her attorney make up the minutes to the meeting in 07/2004 based on her recollection, and used this to fire the husband, take over the co, and send it into bankruptcy. also, she used those same ''minutes'' to have husband arrested, that he was fired and was trespassing in co property. her attorneys also did not indicate that those minutes were a recollection when presented to the court.she has all the cards. what to do?

See the prior response to your first post of the same situation - you need a lawyer. It is far, far beyond the scope of this board, or any actual assistance you could get here (beyond the admonition that you need a lawyer).
