Legal Question in Business Law in Georgia
My husband and I incorporated a "Name" with the Georgia Secretary of State. We had various ideas about starting a business, but nothing ever got off the ground. We really liked the name, though, so we continued to renew the corporation to secure that name. Now, years later, we have not started a business and probably won't. We don't want to pay the filing fee anymore, and would just like to dissolve the corporation. Can I just send in form #CD 410, and publish our notice of intent in our local newspaper? Do we have to do anything else? Thanks.

You don't incorporate a name. You incorporate a business. That involved a lot more paperwork than just paperwork filed with the Secretary of State. We'd need to see that paperwork to answer you.
As a Franchise Attorney I agree with the other attorney answer. Dissolving a corporation is much more complicated than starting one. There are many steps that precede filing dissolution paperwork. Consult with a good business or franchise attorney in your area for specific advice.
