Legal Question in Business Law in Georgia

Intellectual Capital

I worked for a company for 10 years. They shut down my business unit and laid me off. I've been trying to re-start that business and now have investors to do so. I still have all of the information related to the product (web pages, content, logo's, etc.). Can I use that (as is) for my re-start or does it still belong to them even though they shut that business down. (there are no trade mark issues)

Re: Intellectual Capital

The mere fact that a business is not operating does not make their assets fair game. Presumably, the business or owners still own those assets, including the property you mentioned. Perhaps they will sell those assets to you. Either way, best to consult a lawyer who can help set up the busines rather than have to get one later when a problem arises (such as getting sued for misappropriation of trade secrets, and intellectual property).

Just because the business is closed downdoesn't matter. Your old company probably still legally owns the web site domain name, logos, etc. The best advice is to get the former president or owner of the company or domain name registrant to assign the rights over to you.
