I''m trying to establish a franchise consulting office overseas. Now, i''m trying to contact franchisors to give me permission to represent their franchise opportunities overseas, and trying to establish a list of prospect franchisees overseas as well. What legal concerns do I need to be aware of? What type of ahreement can have between me and franchisor to legaly represent him? and is there non-circumvetion agreement to make sure they will not go behind my back and contact prospect? And what agreements do I need to sign with prospect franchisee? Thanks

You are essentially asking for a complicated internationl business plan on a message board. It would do little good to try to identify some of the documents you need, since they are not something you can pick up and fill in the blanks. If the business is worth doing, see a lawyer who specializes in this area of law and start the business the right way.

I do a good bit of franchise work as well as other contact negotiation. No two franchise agreements are the same. You can take to the bank that the franchisor is going to want the potential franchisee locked into an ironclad agreement that protects the franchisor.
You, being the middle man, will also be confronted with a contract in favor of the franchisor.
You will probably need to negotiate each proposal on a case-by-case basis, unless you can agree upon a standard contract with each franchisor.
The above does not mean it is hopeless to try to negotiate with the franchisor; you just need to have someone in your corner who knows the ropes.
