Starting a Business

I want to open a business to sell jewelry that I make. I am planning to sell these items on my website as well as in small boutiques on consignment. What business forms do I need to complete?

It depends on the type of business you want to form. You will need to apply for a business license in any event. And if you use a trade name (d/b/a) you will need to register it with the superior court of your county.

If you are looking to incorporate or form an LLC, you will need to file the proper paperwork with the Secretary of State and create your company documents - operating agreement, bylaws, minutes etc. I would recommend retaining a local business attorney to help you if you want to incorporate or form an LLC due to the complex nature of the required company documents. Also be aware that if you do not forma separate business entity, your personal assets could be at risk if someone were to sue you.

There is no short answer. You may need to form a seperate entity, prepare tax forms, local license forms, contracts for the consignment deals, etc. If this is something you expect to put a lot of time, energy and money in, doing everything correctly in the beginning will save you a lot of problems later. A local lawyer specializing in small business matters and a CPA are a wise investment.

At this point the question is nearly impossible to answer. There are simply too many questions an attorney would need to first ask you such as, for example, where is the business located, how may business owners will there be, will the business own and trademark or copyrighted materials, and what assets will the business own? There are many more questions as well, but generally if you incorporate yourself, there are instruments that must be filed with the Secretary of State. Similarly, there are local business license application forms as well.
