Verbal agreement
I entered a verbal agreement with a ''friend'' almost 2 years ago. We have developed three major components--a directory, a newsletter and a website. We had a disagreement that resulted in the development of a written agreement. The agreement names me as a subcontractor rather than a ''partner'' in said venture. Our verbal agreement stated that we were 60%-him/40%-me partners and that we would divided any profit from the business 60/40. I have email correspondence that illustrates my efforts and his. The venture was reported under his company name for business reporting purposes only. We cannot come to terms. Can I simply go and do a different newsletter under another name and build another website. I own the website domain name to the other business and would redirect to another domain. He has said that he will return all monies to those that were to participate in the second directory. I will not produce a printed directory, but would have an online directory on my new website. Can I do this legally? I was paid no monies and no agreeable written agreement could be reached. He could conceivable sell the components for profit--and I would have know way of knowing.
