Tom offers to sell Drew an autographed football for $50. Drew responds 'No way! Keep your football!' Then, Drew thinks for a moment and says 'Never mind what I just said. I'll take it.' Has a valid contract been formed

In most, if not all, states, a counter-offer is deemed a rejection of the original offer.
