Legal Question in Intellectual Property in Georgia

I am in a band and we are in the process of creating a LLC company. we haven't drawn up any papers yet , but they are saying that upon termination or volantarally ouiting , that we would forfit any and all rites to the band and not be entitled to any more proceeds from the band. We have already recorded our first demo CD and I am one of the people actually playing on the recording. Shouldn't I still be entitled to the same percentage of the proceeds of the sale of that cd even if i'm not with the band any more ?

Ask "them" (whoever the "they" are who are telling you about the agreement). It is your decision to sign or not sign the documents, or work on the language so the final version is acceptable to everyone. It won't do you any good to get opinions of what you are entitled to if you sign an agreement that says something different.

It would be extremely foolish to sign anything, and even more foolish to attempt to create an LLC, without consulting with both a lawyer (as to the legal consequences) and an accountant (as to the tax consequences). Get a lawyer (and a CPA) and be sure they review everything before you sign, make a record, or join the band.
