No Non compete

I am working for a company whose parent company is in serious financial trouble. They have not paid payroll tax liabilities since they started 2 years ago, haven't paid unemployment insurance or workers comp. either. Paychecks are always late or bounce. I have a client that has a service contact with my company and it is for some critical healthcare systems. We are on credit hold with our vendor and cannot get the parts we need to service this account. My question is this. If I do not have a non compete agreement would I be able to quit and then conntract with the hospital directly? My owner is in numerous lawsuits and seems to like to start them as well. I don't want to get sued over trying to help support a client of mine I have had for over 10 years. My new owner has owned us for the past two and has completely destroyed everything I worked so hard to build over the past 14 years. The hospital's contract is up as of Oct 1, 2006 and today is payday once again. I recieved my last paycheck 8 days late. I want to avoid any law suit against me if I start my own company. But in affect since I am the MAnager I would be quitting and then taking the contract with me. Do I have the right to do this under these circumstances? Thank you.

Need to see any employment contract you have ,incl employee manual or handbook.
