Customer notification of a terminating business arrangement

Recently, I was notified that one of our customers was in the process of selling her business. She was a distributor and we had her customer list. Upon notification of the sale we contacted some of these customers to inform them that they could buy direct from us. The sale of the distributors business was never culminated and she wants to sue us for stealing her customers. She also states that the sale did not go through because of our customer contacts. We never signed any agreements. Can she sue?

You may have some exposure here. The distributor may be alleging that you improperly used her customer list or "tortiously interferred" with the sale of her business.
