Limited Liability Companies

If I am a resident of Illinois, can I obtain an LLC in Iowa or am I legally subject to Illinois Fees?

If the business is run out of Iowa, there are no fees from Illinois.

Yes, you can form your LLC in Iowa. However, if you want to do business in Illinois, you will have to register your LLC here also.

A lot of people, for various reasons, use LLCs or other entities formed in other states such as Delaware or Nevada (and, yes, Iowa).

Before a foreign LLC can "transact business" in Illinois, it must be admitted to do so by the Secretary of State (which requires the payment of the applicable fees).

The mere fact a member or manager of the LLC is a resident of Illinois does not constitute transacting business. So if your business is in Iowa and not in Illinois, there is no need to pay Illinois fees.
