non disclosure and fraud
in 3/05 we bought a cell phone store from someone. 3 mo. later we found that Sprint was going to buy Nextel, if I had known I would have never bought it. the previous owner kept the dealer code in his name and would cut a check to my company for monthly commissions we had earned. He helped us at one point on a bill that was in his name, told us a year to pay off free of interest, But we couldnt.. when one of his other businesses got hit with $60,000 back taxes, he called for the full amount to be paid. which we could not pay. nothing was ever signed in the beginning for this bill. Ever since november 07 he has been keeping almost $1000 per month from my commissions to pay this, he lost his dealershio in feb 08, he has kept all my commissions since and tried to get us to sign a loan paper then he would pay us. I refused and so now he says that i am in violation of the contract and wants me to surrender my business to him, but I feel he is the one in violation from non disclosure.

You may be correct, but no attorney will be able to give you any kind of useful answer without reviewing the relevant documents.

You clearly did not have representation when you negotiated this transaction, which is very unfortunate.
This is too complex of an issue for this forum. You need to see an attorney in person and bring all documents.
