what are the pro and cons of non voting stock. We are a family owned company with 4 shareholders holding 52 percent and 3 shareholders holding the balance of voting stock. The president ( who is a shareholder) is really pressing non voting stock. It takes 68 percent to pass non voting stock according to shareholder agreement.

The "pros and cons" in abstract will not be helpful to you. What is the goal here; what is the president's thinking for why non-voting stock is needed? For example, I've seen family owned companies where the children who are minors have non-voting shares so that if one set of parents who are stockholders have 3 children and another family member has none, then the voting is not skewed because of the children.....
