Legal Question in Business Law in Illinois

I am a stockholder of a tax company,we are 5 members and the stockholder manager did not pay for the corporate tax for 5 years and made fraudulent income taxes,in simple terms,waiting for the decision of the judge.Questions,he stop paying us dividends for two years and wanted me to removed as a stockholder.what are my rights and options.
