As a Franchise Attorney I can only say the following. In order to answer your questions regarding dividends and stockholder removal, it's necessary to first review all appropriate corporate documents. These would include shareholder buy-selling agreements, the minutes authorizing the issuance of your stock, copy of your share certificate and other documents. Once you have these, consult with a good business or franchise attorney in your area for specific advice.
