Legal Question in Civil Litigation in Illinois

Our condo bylaws state that we must have a board meeting in our county. However, one member is out of the county. We planned on doing a phone conference call, but a member states that it must be held in the county. If we have the call over the phone, where is the origin? Could it still be considered our county even though it is a conference call?

The one board member is pretty anal if you ask me. Why dont you avoid the issue by having a proxy for the one board member who is out of county.
