As defined in Black's Law Dictionary:
Is based on the doctrine that equity aids the vigilant and not those that slumber. It is defined as neglect to assert a claim which, taken together with lapse of time and other circumstances causes prejudice to adverse party and operates as a bar to recovery.
In short if you snooze you lose.
