Legal Question in Legal Ethics in Illinois

the group of people want to become a incorparated org. another org. wants to incorparate them. But wants to turn what is surpose to be a org. into a commitee. At the same time both groups are trying to do the same thing. But the little group need the big org. to help them with out making them there commitee. There articles in by-laws are good. We would like to keep as our on. Except for where it say that if at any time we shall not continue that all donations in profit shall go to them.
