Winding up petition is in relation to winding up (in simple langauge winding up means closing the company) of company. There are provision in company act envisge in section 433 and 434, which lays down conditions and circumstances, as to when winding up can be done.
One of the condition of winding up is when a company fails to pay its debt to its creditor. SO in your case if you have dues of Rs. 2 crore, then you can file winding up petition in High Court, under section 434 of Companies Act.
HOw the petition will be dealt with cannot be said at this juncture, it depends upon the reply of the company, and practice prvailing in respetive High Courts.
