Whether Memo of Understanding is a valid contract under Indian Contract Act or not?

It may be a valid contract if other terms and conditions required for a valid agreement are fulfilled.

MoU is a valid agreement between the parties wherein they are intending to act on common line of action. When following conditions are satisfied, it is a valid contract:-
(a) consideration
(b) parties are competent to contract
(c) their consent is free
(d) object of the agreement is lawful.
