what is the mean for "if the partnership be disolved the goodwill of the firm always belong to the first party"

It means the goodwill can be sold and price can be enjoyed only by first party.

Goodwill is an asset like if u want to open any coca cola or thumsup factory then u have to pay them money to get the franchise and pay the goodwill fee.
